Customer Agreement

1. Definitions
"You"/"your" refers to the individual or entity ordering the Farm Management System. "Services" means system administration, management, monitoring and support. "Users" are individuals authorised to access the services. "Your data" is information you provide within the system.
2. Rights Granted
Upon acceptance, you receive a nonexclusive, non-assignable, royalty-free limited right to use the services for internal business operations, including initial setup consultation, maintenance and technical support. Named user licences cannot be shared between individuals.
3. Ownership and Restrictions
You retain intellectual property in your data. Apunga retains all rights to the services and system. You must not remove proprietary notices, share system access with third parties, modify or reverse-engineer the system, or commercially exploit or sell access.
4. Availability
Apunga uses best efforts to maintain reliability and availability, but cannot guarantee 100% uptime. System performance depends on your connection speed and infrastructure. Report difficulties to Apunga promptly upon detection.
5. Suspension
Apunga may suspend access for maintenance, updates, data integrity preservation or security issues. Access may be terminated indefinitely without refund if you misuse the system or breach these terms.
6. Warranties & Disclaimers
Apunga warrants services will perform materially as described in your ordering document. Services are not guaranteed error-free or uninterrupted. Apunga assumes no liability for data loss from system use or malfunction.
7. Limitation of Liability
Neither party is liable for indirect, incidental, special, punitive or consequential damages. Apunga's maximum liability is capped at the total amounts paid for services in the 12 months preceding the claim.
All fees are non-cancellable and non-refundable. Upon termination, you may access services for 60 days solely to retrieve your data. Apunga has no obligation to retain your data beyond 60 days post-termination.
8. Confidentiality
Both parties hold confidential information in confidence for three years from disclosure. Confidential information excludes data that is in the public domain, independently developed, or lawfully disclosed by a third party without restriction.
9. Your Data
You are responsible for providing notices and obtaining consents regarding data collection, processing and disclosure. You hold sole responsibility for the accuracy, quality, integrity and legality of your data.
10. Governing Law
This agreement is governed by the laws of Queensland, Australia. Disputes are subject to Queensland court jurisdiction.
